01Services and scope
These terms apply to every engagement delivered by Zentek Network, a digital engineering and innovation studio registered in Jaipur, Rajasthan, India, across all twenty-five of our in-house services — development, marketing and content, payments and integrations, cloud and managed IT, and design, AI and data.
The scope of your project is whatever is written in the proposal or statement of work you accept, not what was discussed informally over a call or chat. Anything outside that document is treated as a change request, quoted separately and only started after you approve it in writing.
02Quotes, estimates and change requests
Every quote we issue names the deliverables, the assumptions behind the price and a validity period of thirty days. Fixed-price work stays fixed unless the requirement itself changes; retainers are billed at the agreed monthly rate regardless of how the hours fall inside the month.
- Change requests are estimated in writing before any work begins on them.
- Third-party costs — hosting, licences, plugins, ad spend, gateway fees, stock assets — are billed at actual cost and are not part of our fee.
- Estimates given verbally or on WhatsApp are indicative only until confirmed in a written proposal.
03Payment terms
Unless your proposal states otherwise, project work is invoiced in milestones with an advance before kick-off, and retainers are invoiced monthly in advance. Invoices are payable within fourteen days of issue.
- We invoice in INR, USD, GBP, EUR or AED depending on where you are based; bank charges and currency conversion costs are borne by the payer.
- Applicable taxes, including GST where relevant, are added to the invoice.
- Work may be paused on accounts overdue by more than fifteen days, after written notice. We do not withhold access to anything you have already paid for.
04Timelines and what we need from you
Our timelines assume timely input from your side. Content, brand assets, approvals, test accounts, gateway credentials and access to third-party systems are client responsibilities, and delays in providing them move the delivery date by an equivalent amount.
Feedback rounds are agreed per milestone in the proposal. Additional rounds beyond that, or a change of direction after a milestone has been signed off, are treated as change requests.
05Intellectual property and ownership
On full payment for a milestone, the deliverables produced in that milestone — source code, designs, copy and documentation — become yours. Repositories, cloud accounts and documentation are handed over in your own accounts, which is why leaving us has never required a negotiation.
We retain ownership of our internal tooling, boilerplates, component libraries and know-how developed before or outside your project, and grant you a perpetual licence to use anything of ours that is embedded in your deliverable. Third-party components remain governed by their own licences.
06Third-party platforms and services
Many engagements rely on services we do not control: payment gateways, WhatsApp Business, courier and KYC providers, ad platforms, cloud vendors, CMS and CRM tools. We integrate them carefully, assume they will occasionally fail and design retries and alerting accordingly — but we cannot be responsible for their pricing changes, policy decisions, approval rejections or outages.
07Confidentiality and data
Anything you share with us about your business, users or systems is treated as confidential and is used only to deliver your project. We are happy to sign your NDA, or to send ours, before any commercial detail is exchanged. Access to client systems is issued on a least-privilege basis and revoked when the engagement ends. How we handle personal data is described in our privacy policy, and our technical controls are set out on the security page.
08Portfolio and credit
We may reference your project in our portfolio, case studies or proposals, using the brand name, screenshots and outcome metrics. If your contract or NDA restricts this, tell us and we will keep the work anonymous or leave it out entirely.
09Warranty, support and liability
Every build carries a thirty-day defect-fix window after go-live: anything that does not work the way the approved scope says it should is fixed at no cost. New features, third-party breakages and changes requested after launch are not defects.
Our total liability for any engagement is limited to the fees you have paid us for the milestone in question. We are not liable for indirect or consequential losses, including lost profit, lost data on systems we do not manage, or business interruption caused by third-party platforms.
10Pausing, cancelling and handover
Either side may end a project with fifteen days written notice, and a retainer with thirty days notice. On exit you pay for work completed and approved up to that date, and we hand over the current state of the code, credentials and documentation. We do not hold work hostage during a disagreement.
11Governing law
These terms are governed by the laws of India, and the courts of Jaipur, Rajasthan have exclusive jurisdiction. Before anything formal, both sides agree to attempt a resolution in a call with the accountable lead and a director — in three years that call has always been enough.
